CIRCULAR No. 01 OF 2023 DATED JANUARY 23, 2023
TO: ALL NON-GOVERNMENTAL ORGANISATIONS (NGOs)
REQUIREMENT TO SUBMIT BENEFICIAL OWNERS INFORMATION
On the 11th day of January 2023, Uganda Registration Services Bureau (URSB), issued a circular requiring all Companies and Limited Liability Partnerships to file their beneficial owners’ information with the Registrar of Companies within 30 days from the date of the circular. (A copy is hereby attached.)
The Companies (Amendment) Act (2022) and the Partnership (Amendment) Act (2022) require every company and Limited Liability Partnership registered in Uganda to keep a register of its beneficial owners. A “beneficial owner” means a natural person who has final ownership or control of a company/ partnership or a natural person on whose behalf a transaction is conducted in a company/partnership, and includes a natural person who exercises ultimate control over a company/ partnership. Since all NGOs are incorporated entities, this circular applies to them too.
This therefore is to re-echo and re-emphasize to all NGOs to comply with the circular issued by URSB within the remaining 18 days by filing their beneficial owners’ information with the Registrar of Companies. Any NGO that will not have complied with that circular by the indicated deadline will not be offered any services by the NGO Bureau unless they have provided proof of their beneficial owners’ information submitted to URSB.
This circular applies to all NGOs including those incorporated outside the country like; regional, continental and international NGOs that registered at URSB. The form to submit the beneficial owners’ information can be accessed from the URSB website www.ursb.go.ug
